Terms of Service

1. Agreement
These Terms of Service (“Terms”) are an agreement between you — the business subscribing to the platform — and Nivaro (“we”, “our”, “us”), a business management platform operated from Hyderabad, India. By creating an account or using Nivaro, you accept these Terms and our Privacy Policy.

2. The Service
Nivaro provides lead management, messaging, AI-assisted client communication, quotation, and project tracking tools for home improvement businesses. The platform integrates with third-party messaging channels — WhatsApp Business Platform, Facebook Pages (Messenger and Lead Ads), and Instagram professional accounts — that you choose to connect.
3. Your Account
- Nivaro is intended for business use. You must be authorised to act for the business you register.
- You are responsible for keeping your login credentials secure and for all activity under your account, including team members you invite.
- You must provide accurate account and business information.
4. Your Data & Your Customers
- The leads, conversations, and business records in your workspace belong to you. You grant us the rights needed to store and process that data solely to provide the service, as described in our Privacy Policy.
- You are responsible for having a lawful basis to contact the people you message through Nivaro, and for the content of messages sent from your account — including messages the AI assistant drafts or sends on your behalf.
- We do not sell your data or your customers’ data.
5. Acceptable Use
You agree not to use Nivaro to:
- Send spam, unsolicited bulk messages, or messages to people who have not consented to hear from your business
- Violate the policies of connected platforms, including the WhatsApp Business Messaging Policy and Meta Platform Terms
- Send unlawful, deceptive, or harmful content
- Probe, disrupt, or reverse-engineer the platform, or resell access to it
6. Third-Party Platforms
- WhatsApp, Messenger, and Instagram are services of Meta Platforms, Inc. and are governed by their own terms and policies. Connecting them requires that you control the phone number, Facebook Page, or Instagram account being connected.
- Messaging capabilities depend on platform rules we do not control — for example, 24-hour reply windows, template approval requirements, and rate limits. We are not responsible for platform-side changes, outages, or restrictions.
- Disconnecting an integration in Settings stops new data flowing from that channel.
7. AI Features
Nivaro includes an AI assistant that can classify leads, draft and send qualification replies, and summarise conversations. AI output may be imperfect. You remain responsible for communications sent from your account, and you can disable AI replies globally or per lead at any time.
8. Fees & Billing
- Paid plans are billed in Indian Rupees through Razorpay. Applicable taxes are added where required.
- Fees are non-refundable except where required by law.
- We may change pricing with at least 14 days’ notice; changes apply from your next billing cycle.
- We may suspend access for non-payment after reasonable notice.
9. Term & Termination
You may cancel at any time from the platform or by emailing us. We may suspend or terminate your access for material breach of these Terms. After cancellation, your data is handled as described in the Privacy Policy (retained 90 days, then deleted; earlier deletion on request).
10. Disclaimers
The service is provided “as is” and “as available”. We do not warrant that it will be uninterrupted or error-free, or that any particular business outcome — including lead volume or conversion — will be achieved.
11. Limitation of Liability
To the maximum extent permitted by law, our total liability for any claims arising out of or relating to the service is limited to the amounts you paid us in the three months before the event giving rise to the claim. We are not liable for indirect, incidental, or consequential losses, or for loss of profits, revenue, or data.
12. Changes to These Terms
We may update these Terms as the product evolves. We will notify active customers via email at least 14 days before any material change takes effect. Continued use after that date constitutes acceptance.
13. Governing Law
These Terms are governed by the laws of India. Courts in Hyderabad, Telangana have exclusive jurisdiction over any disputes.
